Overview

Welcome to VeriSureHealth! The terms “we,” “us,” and “our” refer to VeriSureHealth, a brand of Solution Diagnostics, Inc. (“SDX”). VeriSureHealth operates this store and website, including all related information, content, features, tools, products, and services, to provide you, the customer, with a curated shopping experience for VeriSureDX, VeriSureNOW, and VeriSureCare (the “Services”). VeriSureHealth is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.

Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state of residence, and that you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including purchasing products, you may be asked to provide information such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all account activity. You may not transfer, sell, assign, or license your account to any other person.

Our Products

We have made every effort to provide an accurate representation of our products in our online store. Product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit quantities offered to any person, geographic region, or jurisdiction.

Because our products are diagnostic test kits, availability may also vary by state due to laboratory licensing and physician-authorization requirements that differ across states. If a product cannot be shipped to your state of residence, we will notify you and issue a refund consistent with our Refund Policy.

Orders

When you place an order, you are making an offer to purchase. VeriSureHealth reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until VeriSureHealth confirms acceptance, and we must receive and process your payment before your order is accepted.

Orders for diagnostic test kits are further subject to review by a licensed, independent physician, as described in our Medical Consent & Telehealth Informed Consent. Your kit will not ship, and no laboratory order will be placed, until a physician has authorized your test. If a physician declines to authorize your test, our Refund Policy explains what happens to your payment.

Please review your order carefully before submitting, as VeriSureHealth may be unable to accommodate cancellation requests after an order is accepted. If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, or phone number provided at the time of order.

Your purchases are subject to return, exchange, or refund solely in accordance with our Refund Policy. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect at the time your order is placed and will be set out in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges.

You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update it so we can complete your transactions and contact you as needed.

You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are authorized to use the payment method for the purchase, (iii) charges incurred will be honored by your card issuer, and (iv) you will pay all charges at the posted prices, including shipping, handling, and applicable taxes.

Shipping and Delivery

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.

As noted under Orders above, diagnostic test kits do not ship until a physician has authorized your order — shipping timelines run from that authorization, not from the date of purchase.

Health Services and Your Consent

Purchasing a product through this Site is the first step only. It is not, by itself, your consent to receive testing or care coordination services, and it does not authorize the use or disclosure of your protected health information (“PHI”) beyond what's needed to process your order.

Before any testing occurs, you will complete a separate, secure intake process outside this Site, including our Medical Consent & Telehealth Informed Consent and, for genetic tests, our Genetic Testing & Genetic Material Consent. Those documents — not these Terms of Service — are what authorize a licensed physician to review your case, authorize testing, coordinate with laboratory and electronic health record systems on your behalf, and manage your care. See our Notice of Privacy Practices for how we and our contracted physicians and laboratories use and disclose your PHI.

We do not use your health information to recommend additional diagnostics, invite you to participate in clinical research, or contact you for marketing purposes unless you separately and affirmatively opt in — see our Marketing Communications Consent and our Future Research & Clinical Trial Consent. You may decline any of these at any time without affecting your ability to purchase or use core VeriSureHealth testing and care services, and you can update your choices at any time by contacting support@solutiondx.com.

Intellectual Property

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and their design, selection, and arrangement, are owned by Solution Diagnostics, its affiliates, or licensors, and are protected by U.S. and foreign patent, copyright, and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Nothing in these Terms grants any license or other rights under any patent, trademark, copyright, or other intellectual property of Solution Diagnostics, Shopify, or any third party. Unauthorized use of the Services may violate federal and state intellectual property laws. All rights not expressly granted are reserved by Solution Diagnostics.

VeriSureHealth's names, logos, product and service names, designs, and slogans are trademarks of Solution Diagnostics or its affiliates or licensors. You must not use these trademarks without prior written permission. Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, and marks on the Services are the property of their respective owners.

Optional Tools

You may be given access to tools offered by third parties as part of the Services, which we neither monitor nor control. We provide access to such tools “as is” and “as available,” without warranties of any kind and without endorsement. We have no liability arising from your use of optional third-party tools, and any such use is entirely at your own risk. We may, in the future, offer new features through the Services, which will also be subject to these Terms.

Third-Party Links

The Services may contain links to websites operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or sites you choose to access, and we are not liable for any harm related to your access of or transactions with third-party sites. Complaints regarding third-party products or services should be directed to the third party.

Relationship With Shopify

VeriSureHealth is powered by Shopify, which enables us to provide the Services to you. Any sales and purchases you make in our store are made directly with VeriSureHealth. By using the Services, you acknowledge that Shopify is not responsible for any aspect of any sale between you and VeriSureHealth, including any injury, damage, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with VeriSureHealth.

Privacy Policy and Notice of Privacy Practices

Personal information collected through your use of this Site (such as your name, shipping address, and payment details) is governed by our Privacy Policy, available at [verisurehealth.com/privacy-policy], and certain information may also be subject to Shopify's Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes information about your access to and use of the Site to provide and improve the Services, and information you submit may be transmitted to and shared with Shopify and other third parties.

Your health information — collected separately from this Site through the intake and consent process described in “Health Services and Your Consent” above — is governed by our Notice of Privacy Practices, available at [verisurehealth.com/notice-of-privacy-practices], not by the Privacy Policy.

Feedback

If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that: (i) you own or have all necessary rights to your Feedback; (ii) you have disclosed any compensation or incentives received in connection with it; and (iii) it complies with these Terms. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it. We may, but are not obligated to, monitor, edit, or remove Feedback we determine to be unlawful, offensive, or otherwise objectionable.

You agree that your Feedback will not violate any third party's rights, will not be unlawful, abusive, or obscene, and will not contain any virus or malware. You may not use a false identity or otherwise mislead us as to the origin of any Feedback. You are solely responsible for your Feedback and its accuracy.

Errors, Inaccuracies, and Omissions

Occasionally there may be information on the Services that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct any such errors and to change or update information or cancel orders at any time without prior notice, including after you have submitted your order.

Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any regulations, rules, laws, or ordinances; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, or harm any employee or other person; (e) to transmit false or misleading information; (f) to send material that does not comply with these Terms; (g) to send unsolicited advertising, “junk mail,” or “spam”; (h) to impersonate any person or entity; or (i) to engage in conduct that restricts or inhibits anyone's use of the Services or that may harm VeriSureHealth, Shopify, or other users.

You further agree not to: (a) upload viruses or malicious code; (b) reproduce, duplicate, copy, sell, resell, or exploit any part of the Services; (c) collect or track others' personal information; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine you have violated these Terms.

Termination

We may terminate this agreement or your access to the Services, in whole or in part, in our sole discretion, at any time and without notice. You will remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and Notice of Privacy Practices, and any other provisions that by their nature should survive.

Disclaimer of Warranties

The information presented on the Services is made available solely for general informational purposes. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is at your own risk.

The Services and the general health, wellness, and educational content on them are not a substitute for professional medical advice, diagnosis, or treatment, and do not replace the independent medical judgment of the licensed physicians who review and authorize your testing under separate consent. If you are experiencing a medical emergency, call 911 or go to the nearest emergency room — the Services are not an emergency service.

EXCEPT AS EXPRESSLY STATED BY VERISUREHEALTH, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ FOR YOUR USE, WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL SOLUTION DIAGNOSTICS, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT PROCURED USING THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless VeriSureHealth by Solution Diagnostics, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of (1) your breach of these Terms, (2) your violation of any law or third party's rights, or (3) your access to and use of the Services.

We will notify you of any indemnifiable claim, though a failure to promptly notify will not relieve your obligations unless you are materially prejudiced. We may control the defense and settlement of such claims at your expense, including choice of counsel, but will not settle any claim requiring a non-monetary obligation from you without your consent. You agree to cooperate in the defense of indemnified claims.

Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed, without affecting the validity of the remaining provisions.

Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, together with any policies or operating rules we post, constitute the entire agreement between you and us regarding the Services, superseding any prior agreements or communications, whether oral or written. Any ambiguity shall not be construed against the drafting party.

Assignment

You may not delegate, transfer, or assign this agreement or your rights or obligations under these Terms without our prior written consent, and any such attempt will be void. We may transfer, assign, or delegate these Terms and our rights and obligations without your consent or notice.

Governing Law

These Terms of Service and any separate agreements under which we provide you Services shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict-of-laws principles, and, where applicable, federal law. You and VeriSureHealth consent to venue and personal jurisdiction in the state and federal courts located in Utah.

The headings used in this agreement are included for convenience only and do not limit or otherwise affect these Terms.

Changes to Terms of Service

You can review the most current version of these Terms at any time on this page. We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check our website periodically for changes. We will notify you of material changes as required by applicable law, and such changes will be effective on the date specified in the notice. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
